Agreement to Terms

These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," "your") and plztell.me ("Company," "Service," "we," "us," "our") governing your access to and use of the plztell.me service, including any content, functionality, and services offered on or through plztell.me (collectively, the "Service").

By making any HTTP request to plztell.me, whether via curl, wget, PowerShell, a web browser, or any other means, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

Description of Service

plztell.me is a terminal-based AI assistant service that provides AI-generated responses to user queries. The Service is accessed via HTTP requests and is designed for use in command-line environments.

The Service:

• Accepts user queries and optional piped content via HTTP requests.
• Transmits user input to third-party AI providers (currently Google Gemini via Vertex AI) for processing.
• Returns AI-generated responses to the user.
• Does not require user registration or authentication for the free tier.
• Offers optional account creation (via Auth0 authentication) for Pro tier features.
• Does not store your queries, piped content, or AI responses. If you create an account, we store account data (email, credit balance) in our database. The Service may retain limited operational logs as described in our Privacy Policy.
• Is hosted on Google Firebase infrastructure.
• Uses Google Analytics to collect website usage data (on the website, not the terminal-based API service).

The Service is provided for informational and educational purposes only. It is not intended to replace professional judgment, expertise, or consultation with qualified professionals.

Eligibility

By using the Service, you represent and warrant that:

• You are at least 16 years of age, or the age of digital consent in your jurisdiction, whichever is higher.
• You have the legal capacity to enter into this Agreement.
• You are not prohibited from using the Service under any applicable laws or regulations.
• Your use of the Service does not violate any applicable law or regulation.
• If you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms.

If you do not meet these requirements, you must not access or use the Service.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to use the Service:

Prohibited Activities

• For any purpose that is illegal, unlawful, or prohibited by these Terms.
• To generate, solicit, or disseminate content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
• To generate content that promotes violence, discrimination, or hatred against any individual or group.
• To generate content that exploits, harms, or attempts to exploit or harm minors.
• To generate content that infringes on any intellectual property rights, privacy rights, or other rights of any third party.
• To generate spam, phishing content, malware, or any malicious code or content.
• To attempt to gain unauthorized access to any systems, networks, or data.
• To interfere with or disrupt the Service or servers or networks connected to the Service.
• To probe, scan, or test the vulnerability of the Service or any related system or network.
• To circumvent, disable, or otherwise interfere with security-related features of the Service.
• To use the Service to develop competing AI services or products.
• To use automated systems, bots, or scripts to access the Service in a manner that sends more requests than a human could reasonably produce in the same period.
• To resell, redistribute, or sublicense access to the Service without our express written permission.
• To use the Service in any manner that could damage, disable, overburden, or impair the Service.

Prohibited Content

You agree not to submit, upload, or transmit any content that:

• Is illegal or promotes illegal activities.
• Infringes any patent, trademark, trade secret, copyright, or other intellectual property rights.
• Violates the legal rights (including privacy and publicity rights) of others.
• Contains malicious code, viruses, or any harmful components.
• Is fraudulent, false, misleading, or deceptive.
• Promotes illegal drugs, weapons, or other contraband.
• Contains personally identifiable information of third parties without their consent.
• Constitutes unauthorized advertising or spam.

User Content and Submissions

Your Responsibility

You are solely responsible for all content, data, information, and materials that you submit to the Service ("User Content"), including but not limited to queries, piped logs, configuration files, and any other text or data transmitted to the Service.

By submitting User Content, you represent and warrant that:

• You own or have the necessary rights, licenses, consents, and permissions to submit the User Content.
• The User Content does not violate any applicable laws, regulations, or third-party rights.
• The User Content does not contain any confidential, proprietary, or sensitive information that you are not authorized to share.
• You have obtained all necessary consents from any individuals whose personal data may be included in the User Content.

License Grant

By submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, fully paid-up license to use, process, transmit, and display the User Content solely for the purpose of providing the Service to you. This license terminates when your User Content is no longer processed by the Service, subject to any limited retention that may occur in operational logs as described in our Privacy Policy.

No Monitoring Obligation

We have no obligation to monitor User Content submitted to the Service. However, we reserve the right to review, refuse, or remove any User Content at our sole discretion, without notice, for any reason, including if we believe the content violates these Terms or may harm the Service or third parties.

Third-Party Services

Google Gemini AI (Vertex AI)

You acknowledge and agree that:

• All User Content submitted to plztell.me is transmitted to Google LLC and/or its affiliates for AI processing via Vertex AI.
• Google processes your data in accordance with its own terms of service and privacy policies.
• Under Google's Vertex AI terms, your data is not used by Google to train or improve their AI models.
• We have no control over how Google processes, stores, or retains your data once transmitted, though data is processed under enterprise terms.
• Google's data centers may be located in any country where Google operates.
• You are bound by Google's applicable terms when your data is processed by Google.

Google Firebase

The plztell.me website and certain Service components are hosted on Google Firebase. You acknowledge and agree that:

• Your requests to plztell.me are processed through Google's Firebase infrastructure.
• Firebase may collect technical data such as IP addresses, request metadata, and performance metrics for security and infrastructure purposes.
• Firebase operates data centers globally, and your data may be processed in any country where Google maintains facilities.
• Firebase's data practices are governed by Google's Firebase Terms of Service and Privacy Policy.

Google Analytics

The plztell.me website uses Google Analytics for website analytics. You acknowledge and agree that:

• When you visit our website, Google Analytics collects usage data including pages visited, time on site, device information, and approximate location.
• Google Analytics uses cookies to track website interactions. By continuing to use our website, you consent to the use of these cookies (EU/EEA/UK users may be asked for explicit consent).
• Analytics data is processed by Google and may be used by Google in accordance with its privacy policies.
• You may opt out of Google Analytics tracking by installing the Google Analytics Opt-out Browser Add-on or by configuring your browser to block cookies.

Note: The terminal-based API service (accessed via curl or similar tools) does not use Google Analytics cookies.

Auth0 Authentication (Pro Tier)

If you create an account for Pro tier features, authentication is handled by Auth0. You acknowledge and agree that:

• Auth0 collects and stores your account information, including email address, name, and profile picture.
• Authentication tokens are stored locally in your browser; we do not store your credentials on our servers.
• Auth0 processes your data in accordance with their privacy policy and terms of service.
• Account creation is optional and only required for Pro tier features.

Dodo Payments (Pro Tier)

If you purchase credits for Pro tier features, payment processing is handled by Dodo Payments. You acknowledge and agree that:

• Dodo Payments acts as the Merchant of Record for all transactions, handling payment processing, tax calculation, and remittance.
• Dodo Payments collects and processes your payment information, including name, email, billing address, and payment card details.
• Your payment card details are stored by Dodo Payments; we do not store payment card information on our servers.
• Dodo Payments processes your data in accordance with their privacy policy and terms of service.
• Refund requests and billing disputes are handled through Dodo Payments in accordance with their policies.
• Credits purchased are non-transferable and have no cash value.
• Purchasing credits is optional and only required for Pro tier features beyond the free tier limits.

Refunds

Credits are a prepaid digital product delivered instantly upon purchase.

You may request a full refund within 14 days of a purchase if:

• No credits from that purchase have been used.

You are not eligible for a refund if:

• More than 14 days have passed since the purchase, or
• Any credits from that purchase have been used.

How credits are used: Credits are consumed in the order they were purchased (oldest first). This determines which purchases remain eligible for refund.

No partial refunds: We do not provide refunds for partially used purchases.

To request a refund: Email hello@plztell.me with your purchase details. Approved refunds are processed through Dodo Payments within 5-10 business days.

Your consumer rights: Nothing in this policy affects your rights under applicable consumer protection laws, including the Australian Consumer Law.

Changes to Third-Party Providers

We reserve the right to change, add, or remove third-party service providers at any time without prior notice. Different providers may have different terms, privacy practices, and data handling procedures. Your continued use of the Service after any such changes constitutes acceptance of the new provider's practices.

Intellectual Property Rights

Our Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, code, text, displays, graphics, and the design, selection, and arrangement thereof) are owned by plztell.me, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

AI-Generated Content

Responses generated by the AI through the Service ("AI Output") may be subject to various intellectual property considerations:

• AI Output may include content derived from publicly available information, training data, or other sources.
• We make no representations or warranties regarding the ownership, originality, or intellectual property status of AI Output.
• AI Output may inadvertently include content that is subject to third-party intellectual property rights.
• You are solely responsible for ensuring that your use of AI Output does not infringe any third-party rights.
• We do not claim ownership of AI Output generated in response to your queries.

You acknowledge that identical or substantially similar AI Output may be generated for other users who submit similar queries.

Feedback

If you provide any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute, and sublicense such Feedback for any purpose without any obligation to you.

Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
• ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
• ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
• ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR CORRECTNESS OF ANY AI-GENERATED CONTENT OR RESPONSES.
• ANY WARRANTY THAT DEFECTS WILL BE CORRECTED.
• ANY WARRANTY THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
• ANY WARRANTY REGARDING THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE.

AI Output Disclaimer

AI-GENERATED RESPONSES MAY CONTAIN ERRORS, INACCURACIES, HALLUCINATIONS, OUTDATED INFORMATION, OR INAPPROPRIATE CONTENT. The AI may generate responses that are factually incorrect, misleading, incomplete, or harmful. You acknowledge that:

• AI Output should not be relied upon as the sole basis for any decision.
• AI Output is not a substitute for professional advice of any kind.
• You must independently verify any information, code, commands, or recommendations before use.
• Executing commands or code suggested by the AI is entirely at your own risk.
• We are not responsible for any consequences resulting from your reliance on AI Output.

No Professional Advice

The Service does not provide, and AI Output does not constitute, professional advice of any kind, including but not limited to:

• Legal advice
• Medical or health advice
• Financial or investment advice
• Tax advice
• Security or cybersecurity advice
• Engineering or architectural advice
• Any other professional advice requiring licensure or certification

Always consult with qualified professionals before acting on any information obtained through the Service.

Limitation of Liability

WE SHALL NOT BE LIABLE FOR ANY:

• DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
• LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES.
• DAMAGES FOR PERSONAL INJURY OR PROPERTY DAMAGE.

• DAMAGES RESULTING FROM ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE SERVICE.
• DAMAGES RESULTING FROM ANY ERRORS, INACCURACIES, OR OMISSIONS IN ANY AI-GENERATED CONTENT.
• DAMAGES RESULTING FROM ANY ACTIONS TAKEN OR NOT TAKEN BASED ON AI-GENERATED RESPONSES.
• DAMAGES RESULTING FROM ANY CONTENT OR CONDUCT OF ANY THIRD PARTY ON OR RELATED TO THE SERVICE.
• DAMAGES RESULTING FROM THE DISCLOSURE, PROCESSING, OR USE OF YOUR DATA BY THIRD-PARTY AI PROVIDERS, INCLUDING GOOGLE.
• DAMAGES RESULTING FROM ANY MATTER RELATING TO THE SERVICE.

THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTORY LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. Indemnification

You agree to defend, indemnify, and hold harmless plztell.me and its operators, owners, affiliates, licensors, service providers, employees, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and legal costs) arising from or relating to:

• Your access to or use of the Service.
• Your violation of these Terms.
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or publicity rights.
• Your violation of any applicable laws, rules, or regulations.
• Any User Content you submit to the Service.
• Any claim that your User Content caused damage to a third party.
• Any actions you take or fail to take based on AI-generated responses.
• Your negligent or wrongful conduct.
• Any dispute between you and any third party relating to your use of the Service.

This indemnification obligation will survive the termination of these Terms and your use of the Service.

Service Availability and Modifications

No Guarantee of Availability

We do not guarantee that the Service will be available at all times or at any particular time. The Service may be subject to limitations, delays, and other problems inherent in the use of the internet and electronic communications. We are not responsible for any delays, delivery failures, or other damage resulting from such problems.

Right to Modify or Discontinue

We reserve the right, in our sole discretion, to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice.
• Impose limits on certain features or restrict access to parts or all of the Service without notice or liability.
• Change the AI models, providers, or technologies used by the Service at any time.
• Update, modify, or change the functionality, features, or interface of the Service.

We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Maintenance and Downtime

The Service may be temporarily unavailable due to scheduled or unscheduled maintenance, upgrades, or other reasons. We will endeavor to provide advance notice of scheduled maintenance when practicable, but are not obligated to do so.

Termination

Termination by You

You may stop using the Service at any time. No special termination process is required as the Service does not require user registration or accounts.

Termination by Us

We reserve the right, in our sole discretion and without notice or liability, to:

• Deny access to the Service to any person for any reason or no reason.
• Block, restrict, or terminate access from specific IP addresses, networks, or geographic regions.
• Implement rate limiting, usage restrictions, or access controls.
• Take any other action we deem necessary to protect the Service, ourselves, or third parties.

Effect of Termination

Upon termination or expiration of your right to use the Service:

• All rights and licenses granted to you under these Terms will immediately terminate.
• All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at hello@plztell.me and attempt to resolve any dispute informally for at least thirty (30) days. Most disputes can be resolved through informal negotiation.

Court Proceedings

If informal resolution does not resolve the dispute, either party may bring a claim only in the courts specified in the Governing Law and Jurisdiction section below.

Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

Time Limitation

You agree that any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues. Otherwise, such cause of action is permanently barred.

Governing Law and Jurisdiction

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your use of the Service are governed by the laws of New South Wales, Australia, without regard to conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in New South Wales, Australia, and the courts of appeal from them.

Consumer rights: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that cannot be excluded, restricted, or modified under applicable law, including the Australian Consumer Law.

General Provisions

Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices or policies published by us on the Service, constitute the entire agreement between you and plztell.me regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The invalid, illegal, or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. Any attempted assignment or transfer without such consent will be null and void. We may assign or transfer these Terms or any of our rights or obligations hereunder without restriction and without notice to you.

No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and plztell.me and do not create any third-party beneficiary rights, except as otherwise expressly stated herein.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or power outages.

Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.

Language

These Terms are drafted in English. If these Terms are translated into any other language and there is a discrepancy between the English version and the translated version, the English version shall prevail.

Changes to These Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. When we make material changes, we will:

• Update the "Last Updated" date at the top of these Terms.
• Post the revised Terms on this page.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service immediately.
